Kreiso Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kreiso website (kreiso.app), mobile application, and all related services (collectively, the "Service") operated by Nikita Konstantinovskiy, operating as Kreiso ("Kreiso," "we," "us," or "our").

By joining our waitlist, creating an account, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Kreiso is a social connection platform that matches users into small groups for real-world activities and events. The Service includes:

  • A waitlist for early access
  • A compatibility survey and onboarding flow
  • An event discovery and recommendation feed
  • Group formation and group messaging for coordinated meetups
  • Post-event feedback collection

Kreiso facilitates introductions and organizes group activities. Kreiso is not responsible for what happens during or after events, and does not guarantee any particular social outcome.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you are 16 or older and have the legal capacity to enter into these Terms.

Certain events may carry an additional age requirement of 18 or older, for example events at alcohol-serving venues or nightlife activities. These restrictions are clearly marked on each event listing, and you agree not to commit to age-restricted events unless you meet the stated requirement.

3. Account Registration

To use the app, you must create an account using a valid phone number or email address via Firebase Authentication. You are responsible for:

  • Providing accurate and complete information during registration and onboarding
  • Maintaining the security of your account credentials
  • All activity that occurs under your account

If you believe your account has been compromised, notify us immediately at nikitakonst1@gmail.com.

We reserve the right to suspend or terminate accounts that contain false information.

4. Waitlist

By joining the waitlist, you consent to receiving communications from Kreiso about the Service launch and availability. If you provide a phone number, you also consent to receiving SMS messages from us about Kreiso, which may include service updates, event invitations, and marketing or re-engagement messages. SMS messages are delivered through Twilio. Message and data rates may apply.

You can unsubscribe from email communications at any time by following the unsubscribe link in any email or by contacting us at nikitakonst1@gmail.com. You can opt out of SMS communications by replying STOP to any SMS message we send, or by contacting us at the email above.

Joining the waitlist does not guarantee access to the Service or a spot in any cohort or event.

5. Event Invitation Applications

Separately from the waitlist, we operate an event invitation application flow at kreiso.app/apply. You may submit an application by providing the information requested on that page (email, age, gender, languages, life stage, city, and time in Berlin where applicable).

By submitting an application, you:

  • Confirm that the information you provide is accurate
  • Consent to Kreiso reviewing your application and contacting you by email and, if you provide a phone number as your contact method, by SMS about events we think suit you, including invitations, reminders, and follow-up messages. SMS messages are delivered through Twilio; message and data rates may apply, and you can opt out of SMS at any time by replying STOP
  • Acknowledge that submitting an application does not entitle you to an invitation, attendance, or any particular outcome

Kreiso curates event invitations at its sole discretion based on event fit, group composition, and other operational factors. We may decline to invite any applicant for any lawful reason. If you are not invited to a given round of events, your application remains on file for future rounds; you do not need to reapply.

You may withdraw your application at any time by contacting us at nikitakonst1@gmail.com.

If we extend an invitation and you accept, your participation in the resulting event is governed by Section 7 (Events and Real-World Meetups) of these Terms.

6. User Conduct

You agree to use the Service respectfully and in good faith. You must not:

  • Provide false or misleading information in your profile or survey responses
  • Harass, threaten, intimidate, or harm other users, whether through the Service or at events
  • Use the Service to promote commercial products, services, or solicitations to other users
  • Use the Service to send spam, unsolicited communications, or bulk messaging
  • Attempt to reverse-engineer, scrape, or extract data from the Service
  • Create multiple accounts
  • Impersonate another person
  • Use the Service for any illegal purpose
  • Attempt to circumvent the dispute resolution provisions of these Terms
  • Disrupt or interfere with the Service or its infrastructure

We reserve the right to investigate violations and take action including warning, suspension, or permanent removal from the Service, at our sole discretion.

7. Events and Real-World Meetups

7.1 Kreiso's Role

Kreiso facilitates group formation and event coordination. We may suggest activities, recommend venues, and organize logistics. However:

  • Kreiso does not own, operate, or control any venues where events take place.
  • Kreiso does not employ, supervise, or control any users.
  • Kreiso is not a party to any interaction, agreement, or relationship between users.

7.2 Your Responsibility

When you commit to an event, you agree to:

  • Attend as committed, or cancel within a reasonable time
  • Behave respectfully toward other attendees and venue staff
  • Comply with venue rules and applicable laws
  • Take responsibility for your own safety and well-being

7.3 Assumption of Risk

Participation in real-world events involves inherent risks. By attending any event facilitated through Kreiso, you acknowledge and accept these risks, including but not limited to: risks associated with travel, physical activities, food and drink, interactions with other users, and conditions at third-party venues.

Kreiso is not liable for any injury, loss, damage, or harm arising from your participation in events or your interactions with other users, whether online or in person.

7.4 No-Shows and Cancellations

Repeated no-shows or last-minute cancellations negatively impact other users' experiences. We reserve the right to limit event access, reduce priority in event recommendations, or suspend accounts for users who repeatedly fail to attend committed events.

7.5 Indemnification

You agree to indemnify, defend, and hold harmless Kreiso, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another user or third party
  • Your interactions with other users at events or through the Service
  • Your User Content

This indemnification obligation does not apply to consumers to the extent prohibited by mandatory consumer protection laws of their country of residence.

8. Payments

8.1 Fees

All prices are stated in the applicable currency. Taxes may apply based on your jurisdiction.

8.2 Payment Processing

Payments are processed by Stripe. By making a payment, you agree to Stripe's terms of service. Kreiso does not store your payment card details.

8.3 Refunds

Refund eligibility depends on the specific event and cancellation timing. If you cancel within the cancellation window stated for the event, you are eligible for a full refund. Cancellations after the stated window or no-shows are not eligible for refunds unless the event is cancelled by Kreiso.

If Kreiso cancels an event (for example, due to insufficient commitments), all committed users will receive a full refund.

EU consumers have the right to withdraw from a contract within 14 days of purchase under the EU Consumer Rights Directive. By committing to a specific event date within the 14-day window, you expressly request immediate performance of the service and acknowledge that your right of withdrawal under the Directive will lapse upon the event date.

8.4 Deposits

Some events may require a deposit to secure your spot. Deposits are refunded if you attend the event. If you do not attend without cancelling within the stated window, the deposit may be forfeited.

9. Content

9.1 Your Content

You retain ownership of any content you submit through the Service, including profile photos, text, and feedback ("User Content"). By submitting User Content, you grant Kreiso a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with operating, improving, and promoting the Service. This license continues for User Content already shared with other users or aggregated into derivative works, even if you stop using the Service or request removal of your individual content.

You are responsible for your User Content and represent that it does not violate any third party's rights or any applicable law.

9.2 Content Moderation

We reserve the right to remove or restrict any User Content that violates these Terms or that we reasonably consider harmful, offensive, or inappropriate, without prior notice.

10. Copyright Infringement (DMCA)

Kreiso respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA).

10.1 Notice of Infringement

If you believe that User Content on the Service infringes your copyright, please send a written notice to nikitakonst1@gmail.com containing:

  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the allegedly infringing material and its location on the Service
  • Your contact information (name, address, telephone, email)
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

10.2 Counter-Notification

If you believe your User Content was removed or disabled by mistake or misidentification, you may submit a counter-notification to nikitakonst1@gmail.com containing:

  • Identification of the material that was removed and its location before removal
  • A statement, under penalty of perjury, that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification
  • Your name, address, telephone number, and a statement consenting to the jurisdiction of the federal court for the judicial district in which your address is located (or, if outside the United States, the federal court in the District of Delaware), and that you will accept service of process from the person who provided the original notification or their agent
  • Your physical or electronic signature

10.3 Repeat Infringer Policy

We will terminate, in appropriate circumstances, the accounts of users who are determined to be repeat infringers.

11. Intellectual Property

The Service and all of its content, features, and functionality (including but not limited to all information, software, code, algorithms, text, displays, images, video, audio, design, selection, and arrangement thereof) are owned by Kreiso, its licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws of the United States and other jurisdictions.

"Kreiso" and the Kreiso logo are trademarks of Kreiso. You may not use these marks without our prior written permission.

These Terms do not grant you any right, title, or interest in the Service, Kreiso's trademarks, logos, or other proprietary rights. Any use of the Service not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, available at kreiso.app/privacy. The Privacy Policy explains what data we collect, how we use it, and your rights regarding your data.

13. Third-Party Services and Venues

The Service may contain links to third-party websites, apps, or services, or facilitate events at third-party venues. Kreiso does not control and is not responsible for the content, policies, or practices of any third-party service or venue. Your interactions with third parties are solely between you and the third party.

14. Availability and Modifications

We aim to keep the Service available and functioning, but we do not guarantee uninterrupted or error-free operation. We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Change features, matching algorithms, or event formats
  • Limit availability to specific geographic areas, subject to applicable law

We will make reasonable efforts to notify users of significant changes.

15. Termination

15.1 By You

You may delete your account at any time through the app or by contacting us at nikitakonst1@gmail.com. Upon deletion, your data will be handled according to our Privacy Policy (180-day retention period before permanent deletion).

15.2 By Kreiso

We may suspend or terminate your account at any time if:

  • You violate these Terms
  • Your behavior poses a risk to other users or the integrity of the Service
  • We are required to do so by law

We will notify you of the reason for termination unless doing so would compromise safety or a legal obligation. If your account is terminated for reasons other than a Terms violation, any prepaid fees for unused events will be refunded.

15.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including: Sections 7.3 (Assumption of Risk), 7.5 (Indemnification), 9.1 (license to User Content already submitted), 11 (Intellectual Property), 16 (Disclaimers), 17 (Limitation of Liability), and 18 (Governing Law).

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

KREISO DOES NOT WARRANT THAT:

  • THE SERVICE WILL MEET YOUR EXPECTATIONS
  • MATCHING OR GROUP FORMATION WILL RESULT IN FRIENDSHIPS OR SATISFACTORY SOCIAL OUTCOMES
  • EVENTS WILL PROCEED AS PLANNED
  • OTHER USERS WILL BEHAVE APPROPRIATELY
  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR EMOTIONAL, SOCIAL, OR PERSONAL OUTCOME

KREISO DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON USERS AND DOES NOT VERIFY THE ACCURACY OF INFORMATION PROVIDED BY USERS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, ANY IMPLIED WARRANTIES ARE LIMITED TO THE MINIMUM PERIOD AND EXTENT PERMITTED BY APPLICABLE LAW.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • KREISO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO KREISO IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD 100, WHICHEVER IS GREATER.
  • KREISO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR YOUR PARTICIPATION IN EVENTS.
  • KREISO SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM THE CONDUCT OF OTHER USERS, WHETHER ONLINE OR OFFLINE.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY OF THE CLAIM AND EVEN IF KREISO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18.2 Informal Resolution

Before filing any formal claim, you agree to first contact us at nikitakonst1@gmail.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you within 60 days.

18.3 Binding Arbitration

If the dispute is not resolved informally within 60 days, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures. The arbitration shall be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

If you are a consumer and the cost of arbitration would be prohibitive compared to the cost of litigation, Kreiso will pay the arbitration filing fees and arbitrator costs that exceed the amount you would have paid to file a claim in court. This does not relieve you of responsibility for your own attorneys' fees unless awarded by the arbitrator.

18.4 Class Action Waiver

YOU AND KREISO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

18.5 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court. The class action waiver and arbitration agreement do not apply to claims that, as a matter of law, cannot be subject to arbitration.

18.6 EU Consumer Rights

Nothing in these Terms affects your rights as a consumer under mandatory consumer protection laws of your country of residence. If you are a consumer resident in the European Union, you retain the right to bring proceedings in the courts of your country of residence, and the binding arbitration provision above does not apply to the extent it would deprive you of such rights.

For users in the European Union, the European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

18.7 Right to Opt Out of Arbitration

You may opt out of the binding arbitration provision and class action waiver in this Section 18 by sending a written notice to nikitakonst1@gmail.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provisions of these Terms.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice within the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and may delete your account before the changes take effect.

20. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kreiso regarding the Service, and supersede all prior agreements, representations, and understandings.
